Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Maturo.ai platform ("Service"), operated by Maturo Ltd ("Maturo", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Service Description

Maturo is an AI-powered platform that generates full-stack web applications based on your natural-language description. The Service includes:

  • AI-assisted application design and code generation
  • Cloud infrastructure provisioning on Microsoft Azure
  • Integration with third-party services (authentication, payments, email, analytics, support)
  • Ongoing feature additions, bug fixes, and scaffold updates
  • Optional managed hosting

3. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to use the Service. One person or legal entity may not maintain more than one free account.

4. Data Ownership

You own your data. All application code generated by the Service, your application data, database contents, and configuration are your property. We claim no intellectual property rights over the applications we generate for you.

Generated code is pushed to your GitHub repository. You retain full access to your Azure infrastructure, database, and all third-party service accounts configured during provisioning.

We retain the right to use anonymised, aggregated usage data to improve the Service. We will never access, use, or share your application data or end-user data for any purpose other than providing the Service.

5. Acceptable Use

You agree not to use the Service to:

  • Generate applications that facilitate illegal activities
  • Build applications that infringe on third-party intellectual property rights
  • Attempt to reverse-engineer, decompile, or extract the platform's AI prompts or proprietary systems
  • Circumvent usage limits, rate limits, or access controls
  • Interfere with or disrupt the Service or its infrastructure
  • Resell access to the Service without an Agency or Enterprise plan

We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.

6. Plans, Billing & Payments

The Service offers tiered subscription plans (Free, Starter, Growth, Agency, Enterprise). Plan features, limits, and pricing are displayed on the billing page and may be updated from time to time with 30 days' notice.

Paid subscriptions are billed monthly via Stripe. If payment fails, you have a 14-day grace period before your account is suspended. Suspended accounts cannot create new features or trigger builds until payment is resolved.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

7. Managed Hosting

If you select managed hosting, Maturo provisions and manages Azure infrastructure on your behalf at an additional monthly fee. You may migrate to your own Azure subscription at any time.

If you cancel managed hosting, there is a 30-day grace period during which your application remains accessible. After this period, infrastructure will be deprovisioned. We strongly recommend exporting your data and migrating your application before the grace period ends.

8. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis.

Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party service providers (Azure, Auth0, Stripe, GitHub, etc.).

9. AI-Generated Code

Applications are generated by AI and may contain errors, bugs, or suboptimal patterns. While we employ validation, automated testing, and repair mechanisms, we do not guarantee that generated code is free of defects or suitable for any particular purpose.

You are responsible for reviewing, testing, and validating generated applications before deploying them to production with real users and data.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Maturo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Service
  • Errors, bugs, or defects in generated code
  • Unauthorised access to or alteration of your data
  • Any third-party service failures

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Maturo from any claims, damages, or expenses arising from your use of the Service, your applications, or your violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Maturo platform will be revoked
  • Your generated applications and infrastructure remain yours (BYOK) or enter a 30-day grace period (managed hosting)
  • We will delete your platform account data in accordance with our Privacy Policy

We may terminate or suspend your account immediately for material breaches of these Terms, including non-payment or acceptable use violations.

13. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
